    • Industrial communication and integration involving supported PLCs, drives, HMIs, and related equipment.

The availability of each service depends on technical feasibility, product availability, project scope, location, and resource requirements.

The exact deliverables, price, schedule, and service conditions will be confirmed through a quotation, written proposal, purchase order, or separate service agreement, where applicable.

3. Website Information and Accuracy

We make reasonable efforts to keep the information on our website accurate, useful, and up to date. However, technical specifications, product availability, service descriptions, images, and other information may change over time.

Product images may be illustrative and may not represent every model, revision, accessory, or configuration.

Customers should verify important technical information, including voltage, current, motor ratings, communication protocols, dimensions, compatibility, and environmental requirements before placing an order.

If a website description conflicts with a confirmed quotation or written product specification, the applicable confirmed documentation will govern the transaction, subject to applicable law.

4. Quotations and Orders

Customers may contact IATBD to request product prices, technical assessments, service quotations, or project proposals.

Unless otherwise stated in writing:

    • Quotations are based on the information provided by the customer.

    • A quotation is not a confirmed order until accepted by IATBD.

    • Quotations may have a validity period specified in the document.

    • Additional requirements discovered during inspection or implementation may require a revised quotation.

    • Changes to an approved scope may affect the price, delivery date, or completion schedule.

    • Orders are subject to product availability, technical feasibility, and mutually agreed commercial terms.

Customers are responsible for reviewing quotations and confirming that the listed products, quantities, specifications, services, and payment terms meet their requirements before accepting an order.

5. Product Pricing and Payment

Product prices and service charges will be communicated through the applicable quotation, invoice, or written agreement.

Unless expressly stated otherwise, additional expenses such as transportation, delivery, installation, travel, accommodation, special tools, or third-party charges may be billed separately when agreed upon.

Customers must make payments according to the agreed payment schedule. Depending on the project, this may include an advance payment, milestone payments, or payment after delivery or completion.

IATBD reserves the right to pause work or withhold further delivery when an agreed payment becomes overdue, subject to the applicable contract and law.

Any taxes, duties, or other statutory charges will be handled according to applicable requirements and the terms of the transaction.

6. Product Availability and Delivery

Delivery schedules depend on stock availability, supplier lead times, shipping arrangements, customs procedures where applicable, and other operational factors.

We will communicate the expected delivery timeframe when sufficient information is available. Estimated dates are not guaranteed unless a specific delivery commitment is expressly agreed in writing.

Customers must provide accurate delivery details and ensure that someone authorized is available to receive the goods.

Any visible shipping damage, missing item, or incorrect product should be reported promptly, preferably with photographs and relevant order documentation.

Risk, title, delivery responsibility, and any applicable shipping conditions will be determined by the confirmed order terms and applicable law.

7. Installation, Commissioning, and Technical Work

Industrial automation work may involve electrical equipment, machinery, moving parts, control systems, and potentially hazardous operating conditions.

Before installation, commissioning, repair, or maintenance begins, the customer must provide accurate information about the equipment, operating environment, known faults, and relevant safety requirements.

Customers are responsible for ensuring that the worksite is reasonably safe and that IATBD personnel have authorized access to the equipment and facilities.

Unless otherwise agreed, the customer must arrange appropriate machine shutdowns, isolation procedures, permits, and coordination with site personnel.

Any work requiring additional components, wiring modifications, programming changes, or repairs beyond the agreed scope may require separate approval and charges.

Commissioning and testing will be performed according to the agreed scope and available equipment conditions. Acceptance criteria, performance targets, and handover requirements should be documented for projects where they are material.

8. Customer Responsibilities

To help us deliver services effectively, customers agree to:

    • Provide accurate equipment details, fault descriptions, and project requirements.

    • Supply relevant manuals, wiring diagrams, PLC/HMI programs, passwords, and configuration files where available and authorized.

    • Obtain necessary permissions to access and modify the equipment or software.

    • Provide safe access to the worksite and suitable working conditions.

    • Maintain appropriate backups of existing programs, configurations, recipes, and operational data.

    • Review and approve proposed changes that affect the agreed project scope.

    • Follow relevant operating instructions and safety recommendations.

    • Pay invoices according to the agreed terms.

Customers must not ask IATBD to bypass safety systems, disable legally required protections, or perform unauthorized modifications that could create unreasonable risks.

9. Repairs, Maintenance, and Troubleshooting

Industrial equipment faults may arise from electrical problems, component failure, incorrect settings, environmental conditions, wiring defects, mechanical issues, software errors, or other causes.

Our initial diagnosis may identify possible causes rather than establish a definitive conclusion. Further inspection, testing, or component replacement may be necessary.

Repair outcomes depend on the condition of the equipment, the availability of compatible parts, the accessibility of components, and the nature of the fault.

Where appropriate, we will inform the customer of significant additional work or costs identified during the service.

A repair or maintenance service does not automatically guarantee that unrelated faults, future failures, or problems caused by other equipment will be eliminated.

Any specific repair warranty or service guarantee will be stated in writing.

10. Warranty and Product Support

Product warranties are subject to the applicable manufacturer’s warranty, supplier terms, and any additional written warranty issued by IATBD.

Unless a separate written warranty states otherwise, IATBD does not independently extend a manufacturer’s warranty or guarantee a warranty period that has not been confirmed.

Customers should retain invoices, order confirmations, serial numbers, and warranty documents when requesting support.

Warranty coverage may be affected by misuse, unauthorized modification, improper installation, unsuitable operating conditions, accidental damage, electrical faults, or other exclusions specified in the applicable warranty terms.

Where a warranty claim is made, IATBD may request reasonable evidence, diagnostic information, or an inspection to assess the claim.

Nothing in these terms removes any warranty, remedy, or consumer right that cannot lawfully be excluded or restricted.

11. Returns, Replacements, and Cancellations

Return, replacement, refund, and cancellation requests will be assessed according to the confirmed order terms, the applicable manufacturer’s or supplier’s policies, and applicable law.

Customers should contact IATBD promptly if a product is defective, damaged, incorrect, or materially different from the confirmed order.

Before returning an item, customers must obtain return instructions from IATBD. Products should not be sent back without the necessary authorization and delivery arrangements.

For eligible returns, the product may need to be supplied with its original accessories, packaging, invoice, and relevant documentation, depending on the circumstances.

Special-order products, configured equipment, customized panels, and products procured specifically for a project may be subject to additional cancellation or return conditions disclosed before the order is confirmed.

Approved refunds, where applicable, will be processed according to the agreed terms and applicable law.

This section does not exclude any mandatory consumer protection rights.

12. Project Changes, Delays, and Suspension

Industrial automation projects may require adjustments following equipment inspection, testing, integration, or changes in customer requirements.

A change to the approved project scope must be agreed upon before the additional work proceeds, except where immediate action is reasonably necessary to address an urgent safety concern.

Project timelines may be affected by delayed customer approvals, unavailable components, supplier delays, restricted site access, unexpected equipment conditions, or circumstances beyond reasonable control.

Where a material delay or change occurs, the parties should communicate in good faith to agree on an appropriate revised schedule or scope.

IATBD may suspend affected work when continuing would create a safety risk, require unauthorized activity, or violate applicable law or an agreed payment obligation.

13. Software, Programming, and Intellectual Property

PLC programs, HMI projects, configuration files, drawings, technical documents, and other project deliverables may be subject to intellectual property rights belonging to IATBD, the customer, equipment manufacturers, or third-party software providers.

Unless otherwise agreed in writing:

    • Each party retains ownership of intellectual property it owned before the project.

    • Customer-supplied programs, drawings, and confidential materials remain subject to the customer’s applicable rights.

    • Manufacturer software, firmware, libraries, and licensed tools remain subject to their respective licence terms.

    • Ownership and permitted use of newly developed programs, drawings, and other project deliverables will be determined by the relevant written agreement.

Where expressly included in the agreed scope, IATBD will provide the specified project files or backups, subject to applicable third-party licensing restrictions and the agreed payment and handover terms.

Customers must not use our website content, branding, original technical materials, or other protected content without permission, except where permitted by law.

14. Website Use and Acceptable Conduct

You agree to use our website lawfully and responsibly.

You must not:

    • Attempt unauthorized access to the website, server, or connected systems.

    • Introduce malicious code or interfere with website operation.

    • Submit false information or impersonate another individual or business.

    • Use website content for unlawful, fraudulent, or misleading purposes.

    • Copy, republish, or commercially exploit protected materials without authorization.

    • Use our website to transmit harmful, abusive, or unlawful content.

We may restrict access to website features where reasonably necessary to protect our systems, users, or business operations, subject to applicable law.

15. Third-Party Products and External Links

Our services may involve equipment, software, components, or tools manufactured or supplied by third parties.

Product performance, compatibility, licensing, and warranty coverage may depend on the relevant manufacturer’s or supplier’s terms.

Our website may also contain links to external websites for reference or convenience. IATBD does not control every external website and is not responsible for its content, availability, or privacy practices.

Customers should review the applicable third-party terms before purchasing, downloading, or using external products and services.

16. Safety and Operational Responsibility

Industrial automation systems must be designed, installed, operated, and maintained according to the relevant equipment specifications, safety procedures, and applicable standards.

Customers remain responsible for their overall plant operations, personnel safety, equipment supervision, emergency procedures, and compliance obligations, except to the extent a specific responsibility is expressly accepted by IATBD or imposed by law.

Any recommendation provided by IATBD must be assessed in the context of the actual machinery, operating conditions, and site-specific risks.

Customers must not operate equipment that is known to be unsafe or continue operating a system when doing so creates an immediate risk of injury or damage.

17. Limitation of Liability

To the extent permitted by applicable law, IATBD will not be responsible for indirect or consequential losses arising from circumstances such as production interruption, loss of business opportunity, loss of anticipated profits, or loss of data, where such losses are not otherwise recoverable under the applicable agreement or law.

IATBD is not responsible for problems caused by circumstances outside its agreed scope, including pre-existing equipment defects, unauthorized modifications, customer-supplied inaccuracies, third-party system failures, or improper operation, to the extent that such circumstances legally excuse or limit our responsibility.

Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by law, including any applicable liability for fraud, wilful misconduct, or other non-excludable matters.

Where a separate written agreement establishes liability limits, those limits will apply only to the extent legally enforceable.

18. Force Majeure

Neither party will be considered in breach of an obligation to the extent that performance is prevented or materially delayed by circumstances beyond its reasonable control.

Such circumstances may include natural disasters, severe weather, fire, war, civil unrest, government restrictions, widespread transport disruption, supplier shutdowns, or major utility or communication failures.

The affected party should notify the other party within a reasonable time and take reasonable steps to reduce the impact.

If the disruption continues for an extended period, the parties should discuss a practical solution, including revised deadlines, alternative arrangements, or termination of the affected portion of the agreement where appropriate.

This clause does not automatically remove payment obligations for products or services already supplied.

19. Confidentiality

During a project, either party may receive non-public information relating to technical systems, drawings, source code, pricing, business operations, or customer requirements.

Each party agrees to use the other party’s confidential information only for the relevant business purpose and to take reasonable steps to prevent unauthorized disclosure.

Confidential information may be disclosed where required by law or to authorized personnel and professional advisers who need it for the relevant purpose, subject to appropriate confidentiality obligations.

This section does not apply to information that is lawfully public, independently developed, or lawfully received from another source without a confidentiality restriction.

Where a project requires additional confidentiality protections, the parties may enter into a separate non-disclosure agreement.

20. Privacy and Personal Information

IATBD may receive information such as names, business contact details, telephone numbers, email addresses, company information, and project requirements when visitors submit inquiries or request quotations.

We use such information as reasonably necessary to respond to inquiries, prepare quotations, provide services, process transactions, communicate with customers, and meet applicable legal obligations.

Personal information should be handled according to our Privacy Policy and applicable law.

Customers should avoid sending passwords, sensitive credentials, or confidential machine-access details through unsecured communication channels unless a secure transfer method has been agreed upon.

Please refer to our Privacy Policy for further details about the information we collect, how we use it, and the choices available to you.

21. Indemnity

To the extent permitted by applicable law, a customer may be responsible for reasonable losses, costs, or claims arising from the customer’s unlawful conduct, infringement of third-party rights, or material breach of these terms.

This responsibility applies only to the extent that the relevant loss is attributable to the customer’s actions or omissions.

Nothing in this section requires a customer to indemnify IATBD for losses caused by IATBD’s own negligence, breach of contract, unlawful conduct, or other liability that cannot legally be transferred.

22. Termination

Either party may terminate a service engagement according to the applicable written agreement.

Where no specific termination process has been agreed, a party may request termination by providing written notice and allowing a reasonable opportunity to resolve outstanding matters.

IATBD may suspend or terminate affected services where there is a material breach, unlawful activity, a serious safety concern, or a failure to meet an agreed payment obligation, subject to applicable law and any required notice or cure period.

Upon termination, the parties must settle outstanding amounts for products supplied and work properly completed, together with any other amounts lawfully payable under the applicable agreement.

Any rights or obligations intended to continue after termination, including confidentiality and accrued payment obligations, will remain in effect as appropriate.

23. Changes to These Terms

IATBD may update these Terms and Conditions to reflect changes in our services, business practices, website features, or legal requirements.

The revised version will be published on this page with an updated “Last Updated” date.

Changes will apply prospectively from the stated effective date, unless a different application is permitted by law and clearly communicated.

Changes to an existing order or signed service agreement will be governed by that agreement and applicable law. Publishing a revised version of these terms does not automatically change previously agreed contractual obligations.

We encourage visitors and customers to review this page periodically.

24. Governing Law and Dispute Resolution

These Terms and Conditions are intended to be governed by the laws of Bangladesh, subject to any mandatory legal provisions that apply to the relevant transaction.

If a dispute arises, the parties should first attempt to resolve it through good-faith communication and a mutually acceptable solution.

If the dispute cannot be resolved informally, either party may pursue the remedies available under applicable law before a competent authority or court.

Nothing in this section prevents a customer from exercising a mandatory statutory right or seeking relief from a legally authorized consumer protection body.

25. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permissible.

The invalid provision should be interpreted or replaced, where legally possible, in a manner that most closely reflects its original lawful purpose.

26. Entire Agreement

These Terms and Conditions, together with the applicable quotation, invoice, purchase order, warranty document, Privacy Policy, and any signed service agreement, form the relevant contractual framework for the website use, product purchase, or service engagement to which they apply.

If documents conflict, the parties will determine the applicable terms by considering the express wording of the relevant agreement, the scope of the transaction, and applicable law.

A specific written agreement may supplement or replace a provision of these terms for a particular project where the agreement clearly provides for that result.
